KKR's 16 HSR allegations do not add up to 20

DOJ grouped at least 16 transactions into omission, alteration, and no-filing categories that overlap. The September 4 Federal Register notice opens the statutory review stage, but the later of that notice and the required newspaper publication controls the 60-day period; court entry still gates payment.

KKR has agreed to a proposed $250 million Hart-Scott-Rodino settlement, and DOJ published the proposed judgment and Competitive Impact Statement in the Federal Register on September 4. That is a real state change, but the reviewed sources still do not show an entered final judgment or a completed payment. The later of the Federal Register publication and the required newspaper notice controls the start of the 60-day comment period; the proposed judgment makes payment due within 30 calendar days after entry.

The underlying count also needs a map. DOJ alleged at least 16 transaction violations, including at least ten transactions with omitted documents, at least eight with altered documents, and at least two with no timely filing. Those categories are not 20 separate transactions: the complaint says at least four of the altered-document transactions also involved omissions. KKR disputes DOJ's characterization, and the consent papers expressly avoid a trial, adjudication, or admission of fact or law.

The question this map answers

How do the 16 alleged transaction violations relate to the three overlapping failure modes, and which legal states must occur before the proposed settlement becomes an entered judgment, triggers payment, and releases the pleaded HSR claims?

MyMap rechecked the DOJ case materials, complaint, settlement filings, September 4 Federal Register publication, and KKR Form 8-K at 4:03 AM Pacific Time on September 5, 2026. The settlement papers were filed August 26. KKR's 8-K reports an August 26 event, was accepted at 6:02:46 PM Pacific Time that day, and carries an August 27 filing date. The Federal Register notice is document 2026-18136, published at 91 FR 56901.

In this map, an allegation is a claim in DOJ's complaint, not a finding. A party position is a statement attributed to DOJ or KKR. A proposed judgment contains agreed terms that remain subject to the stated court process. Entry means the court has signed and entered the final judgment. A release applies only on the terms and scope stated in the settlement documents.

HSR review is a sequence, not one upload

For a covered transaction, the premerger process joins several different duties: identify responsive information and documents, submit a true and complete notification certified by an authorized person, let the antitrust agencies receive the required material, and observe the statutory waiting period before closing. A failure at one stage does not describe every other stage.

DOJ's complaint focuses on Item 4 documents under the HSR form then in effect. These included certain studies, surveys, analyses, reports, confidential information memoranda, and adviser materials used to evaluate competition, markets, synergies, or efficiencies. The agencies use that evidence to decide whether a transaction needs investigation before it closes.

The map therefore avoids a single arrow labeled “bad filing.” It preserves three source-stated categories:

Alleged failure modeComplaint scopeMissing review input
omitted required documentsat least 10 transactionsresponsive material was not included
altered submitted documentsat least 8 transactionssubmitted copies differed after relevant content was removed
no timely HSR filingat least 2 transactionsagencies did not receive the required pre-closing notification

At least four transactions sit in both the omission and alteration sets. The complaint also describes the two no-filing matters as AppLovin's acquisition of Adjust and KKR's acquisition of a stake in AppLovin. Because the source does not publish a complete exclusive-set table, MyMap does not infer how many transactions belong only to one category or whether every overlap is exhausted by the four expressly identified.

The evidence problem is larger than a page count

The complaint uses individual transactions to show why the relationship type matters. For the ERM acquisition, DOJ alleged that 70 pages across four Item 4 documents were deleted before submission, including material about competitors, market shares, pricing, barriers to entry, and post-merger plans. For Barracuda, DOJ alleged that a filing containing seven Item 4 documents omitted another 19 responsive documents.

Those examples establish the complaint's allegations and the kinds of evidence DOJ says were unavailable at the required time. They do not establish that an underlying acquisition harmed competition, that every omitted page would have changed an agency decision, or that a court adjudicated intent. The complaint sought penalties for alleged premerger-notification failures; it was not a final merits judgment about each transaction's competitive effect.

DOJ says the 16 alleged violations accumulated more than 10,000 violation-days from early 2021. The August 26 announcement says HSR law authorizes daily penalties and calls the proposed $250 million amount the largest HSR civil penalty. “Record” describes the proposed penalty amount, not a court finding that every allegation was proven.

Agreement, entry, payment, and release are separate states

The August 26 proposed judgment says the parties consented to entry without testimony, trial, or adjudication and without the judgment serving as evidence or an admission on any issue of fact or law. It would require KKR to pay $250 million within 30 calendar days after entry. The judgment would expire after payment in full, while the court retains enforcement authority during its life.

The accompanying procedure filing says the court should not sign the proposed judgment until the Antitrust Procedures and Penalties Act process is satisfied. DOJ completed the Federal Register publication step on September 4. The stipulation also requires KKR to arrange a newspaper summary at its expense after DOJ supplies the text and publication outlet. DOJ then accepts and responds to comments before asking the court to determine whether entry is in the public interest. The comment window is at least 60 calendar days beginning with the later of the specified newspaper publication or September 4 Federal Register publication.

September 4 is therefore an earliest possible comment-period start, not a confirmed November 3 close date unless the newspaper notice occurred no later. It is also not day zero for the payment deadline. The reviewed materials still call the judgment proposed. A later newspaper notice or docket entry can change those states; this article does not predict when either will happen.

The two parties describe the resolution differently

DOJ's announcement says the settlement resolves allegations that KKR repeatedly failed to comply with HSR requirements. KKR's 8-K says the agreement would resolve the civil complaint and that DOJ notified the company it had terminated related investigations. KKR also says it strongly disagrees with DOJ's characterization and believes it acted in good faith under its prior process.

KKR further states that a subsidiary would pay the penalty and that outside law firms would reimburse it, leaving no financial impact on the firm, its funds, or investors. The filing establishes that KKR made that statement. It does not establish that reimbursement has already occurred, identify the law firms or allocation, or eliminate the settlement's stated payment obligation.

The proposed judgment's release is also bounded. On entry, it would settle HSR claims stated in the complaint for submissions made, or required to have been made, before the complaint was filed. It expressly does not affect other charges or claims the United States may file. “All open investigations” in KKR's statement should not be redrawn as immunity from unrelated or future enforcement.

Confirmed, derived, and still unknown

The controlling sources confirm the complaint's three minimum category counts and express overlap; the August 26 agreement and filings; the September 4 Federal Register notice and Competitive Impact Statement; the no-admission language; the proposed $250 million amount; the post-entry 30-day payment term; the APPA comment and public-interest process; KKR's disagreement; and the stated release boundary.

MyMap derives the overlapping-set visual, the HSR evidence pipeline, and the five-state settlement sequence: complaint, proposed resolution, statutory review, court entry, and payment. Those joins prevent double-counting and premature deadline calculation; they are not additional judicial findings.

The sources leave unknown the exact membership of every exclusive overlap set, the required newspaper-publication date, the resulting comment close date, public comments, DOJ's response, the court-entry date, whether terms change, the payment date, whether and when outside-law-firm reimbursement occurs, and the effect of later claims outside the release.

Reproducible mapping method and next step

Create one row per transaction and one Boolean field per alleged failure mode. Do not calculate a total from category subtotals until the source supplies exclusive membership. Attach each claim to a paragraph or count in the complaint and preserve alleged as a status field.

Track the settlement separately with document filed, notice published, comment period closed, court entered, payment due, and payment confirmed states. Store the controlling document, event date, observation time, actor, trigger, and scope at every edge. Do not generate a payment date from the filing date.

The practical next step is to capture the newspaper notice date, then calculate the comment period from the later publication and monitor DOJ's response and the court docket. Only an entered order should start the 30-day payment clock; only payment evidence should close it. This article is a source-reading aid, not legal advice or a conclusion about the merits of any underlying acquisition.
